Terms of Service

Effective
September 25, 2026

These terms are the contract between you and Floxu. They say what the platform does and does not do, what each side of a campaign — brand, creator, agency or artist — commits to, how the money is calculated and paid, and what happens when something goes wrong. They are written to be read, not to hide anything: if a clause is unclear, that is our failure and we want to hear about it.

Draft under legal review. It may change before launch.

1. Who we are and when these terms apply

Floxu is the trade name under which LPP Media Influence Corporation ("Floxu", "we", "us"), a Florida corporation, does business. It is located at 8400 NW 33rd St, Ste 310, PMB 2038, Doral, FL 33122. These terms govern your use of the floxu.app site, the product at floxu.app/app, the waitlist, and any service we provide to you.

You accept them by creating an account, joining the waitlist, publishing or accepting a campaign, or ticking the box that presents them. If you act on behalf of a company or agency, you represent that you have authority to bind it, and the terms bind it.

How we handle your data is in the Privacy Policy, which forms part of these terms.

Floxu is the rebrand of LPP Media Influence. If you had a relationship with that brand, from the effective date it is governed by these terms.

2. The short version

  • Floxu connects brands with creators. It is not your employer or anyone else's: every creator works for themselves.
  • Everything you are charged or paid is shown to you before you accept it. No fees appear afterwards.
  • All money goes through Floxu: the brand pays Floxu and Floxu pays the creator. Getting paid at 30 days costs nothing; getting paid sooner does (section 11).
  • Live commissions are paid on the sales Floxu verifies, not on the sales reported.
  • If you authorize us to put you forward for campaigns on other marketplaces, we do it under our own account and keep a difference. You see your number before you say yes, and you can say no.
  • Content belongs to the creator. The brand gets the licence the brief sets out or, if it says nothing, the one in section 13.
  • If you met through Floxu, for 12 months you work through Floxu.
  • No bought followers, inflated metrics or simulated sales. It is the main reason accounts get closed.

3. Your account

  • You must be 18 or over and have legal capacity to contract in your country.
  • The information you give must be true and current, including your social accounts, your metrics and your tax identity.
  • One person, one account per role. Agencies manage their creators from their own account, never by logging into the creator's.
  • You are responsible for what happens under your login. If you suspect someone has used it, tell us immediately.
  • We assign each account's role — brand, creator, agency or artist — and may ask you to show that it fits you.

4. Waitlist and early access

During pre-launch, access to the product is by invitation. Joining the waitlist does not entitle you to an account or to a particular date, and your position or referrals may change the order but do not guarantee entry.

Early-access features may change, break or be withdrawn. We will ask for your feedback; anything you tell us we may use to improve Floxu without owing you anything for it.

5. What Floxu is and is not

Floxu is a marketplace: it publishes campaigns, matches profiles, coordinates shipments, verifies sales and moves payments. The working agreement for each campaign is between the brand and the creator, on the terms of the brief and of these terms. Floxu does not make, sell or warrant brands' products.

  • Creators are independent contractors. Nothing in these terms creates an employment, partnership, agency or franchise relationship between a creator and Floxu, or between a creator and a brand.
  • Each creator decides how, when and where they create, within what the brief they accepted requires.
  • We do not guarantee a brand any number of sales, views or results, nor a creator any number of campaigns or any income.
  • Matching is automated, but applying is the creator's decision and choosing is the brand's.

6. Campaigns

If you are a brand or agency:

  • The brief must clearly describe the product, the deliverables, deadlines, revision rounds, the commission or fee, the slots and the content usage licence.
  • What you publish is a firm offer: once you accept a creator, you are bound to ship the product and pay what you promised if the creator delivers.
  • You may send a direct collaboration to a specific creator. The same rules apply.
  • You may not worsen a campaign's terms for someone already accepted without their written consent inside Floxu.

If you are a creator:

  • Applying commits you to nothing. Being accepted does: you commit to delivering what the brief says, on time.
  • If you cannot deliver, say so before the deadline. If you already received product and do not deliver, the brand may ask for it back or for its value.
  • You publish from the accounts declared in your profile, not from others.

7. Representation on other marketplaces

Besides campaigns published on Floxu, we look for campaigns on other creator marketplaces and in brands' own listings. When one fits you, we may put you forward for it if you have given us that authorization from your account.

  • We act as the provider to the advertiser, under our own account, and contract with them in our own name.
  • Before putting you forward we show you the campaign and your offer: how much you will be paid, when, and what you must deliver. We only put you forward if you accept it.
  • The difference between what the advertiser pays and what you are offered is Floxu's margin for finding the campaign, negotiating it, managing it and answering to the advertiser. We tell you here because you have a right to know it exists; the exact amount of our contract with the advertiser is our commercial information.
  • We never offer you below your stated minimum rate without telling you so expressly.
  • We share your professional profile and media kit with the advertiser. Never your address, phone or payment data.
  • Accepting binds you to the brief and to that platform's content rules, as well as to these terms.
  • You may withdraw the authorization at any time. Campaigns you already accepted run to completion on their terms.

Being put forward does not guarantee the advertiser picks you. If they do not, you owe us nothing.

8. Product shipping

  • The creator provides a correct, complete address and is available to receive. A shipment lost to a wrong address is not the brand's or Floxu's responsibility.
  • The brand ships within the brief's deadline and is responsible for the product until delivery: damage, loss and customs.
  • Unless the brief says it must be returned, product received is the creator's to keep as part of the collaboration. That may have tax consequences: check in your country.
  • If the product arrives defective or does not match the brief, tell us within 5 days of delivery, with photos.
  • Who can see your address and how we protect it is in the "Your postal address" section of the Privacy Policy.

9. Content and approval

  • The brand reviews each delivery within 5 business days. It may approve it or request changes within the brief's revision rounds; if the brief does not say how many, it is one.
  • Changes must stay within the brief. Asking for new or different content is not a revision, it is another campaign.
  • If the brand does not respond within that period, Floxu may treat the delivery as approved.
  • Approval of a delivery is always reviewed by a person. If you disagree with a decision, you can ask for a second review.
  • The creator keeps the content published for as long as the brief says, or 30 days if it says nothing.

10. Live sales and commissions

  • Each session's commission is agreed before it starts and is shown in Floxu. It does not change afterwards.
  • It is calculated on the sales Floxu verifies using TikTok Shop reports, the brand's data and the post's metrics. What the creator reports is used to cross-check, not to pay.
  • Returns, cancellations and chargebacks within the store's return window are deducted from the base.
  • Amounts are calculated in cents and rounded half up: when in doubt, the cent goes to the creator.
  • You have 15 days from when a verification is published to dispute it, with whatever evidence you have. A person reviews it again and replies.

11. Payments, fees and taxes

  • Charges and payouts are processed by Stripe and are also subject to its terms. Floxu does not store card numbers or bank credentials.
  • Every Floxu fee — to the brand, the creator or both — is shown before you publish, accept or pay. If you did not see it before accepting, you are not charged it.
  • All campaign payments are made through Floxu. The brand pays the campaign amount to Floxu when it accepts each creator, or when the campaign states, and Floxu holds it until the delivery is approved or the sale verified. Floxu is not a bank: held funds earn no interest.
  • Once the delivery is approved or the sale verified, the creator chooses when to be paid: in 30 calendar days at no charge; in 15 calendar days for a fee of 4 %; in 7 calendar days for a fee of 8 %; or in 3 business days for a fee of 12 %. The fee is a percentage of that payment, is deducted from it, and is shown before the choice is confirmed. If the creator does not choose, they are paid on the no-charge schedule.
  • The periods run from approval or verification, and are when Floxu sends the payment: the bank or processor may take a little longer to credit it.
  • To be paid, the creator must have an active payout account and complete tax forms (W-9, W-8BEN or W-8BEN-E). While they are missing, the payment is held, not lost.
  • Each party is responsible for its own taxes. Floxu makes the withholdings and reports the law requires of it and shows them in your history.
  • If a brand initiates a chargeback on a campaign already delivered, Floxu may suspend its account and recover the amount; the creator's payout for an approved delivery is not reversed for that reason.
  • We may set off what you owe us against what we owe you, with prior notice.

12. Non-circumvention

A brand and a creator who meet through Floxu contract through Floxu for the 12 months following their last contact on the platform. That includes proposing or accepting payment outside it and using contact details obtained here to avoid the platform. If a brand contacts a creator through Floxu, payment for that collaboration is made through Floxu, even if the negotiation continues on another channel.

If this is breached, the party that proposed it owes us the fee we would have charged on that collaboration, and we may close its account. It does not apply to relationships you can show existed before Floxu.

13. Content ownership and licences

The creator owns, and keeps owning, the content they create. Once the delivery is approved and the campaign paid, the creator grants the brand the licence the brief sets out. If the brief says nothing, the licence is:

  • Non-exclusive, worldwide, and for 12 months from publication.
  • To publish and share it organically on the brand's social accounts, website and store, crediting the creator.
  • Excluding paid advertising, whitelisting or use of the creator's account, edits that change the content's meaning, and use of their image or voice outside that piece. Any of those must be in the brief and paid separately.

The creator grants Floxu a non-exclusive, royalty-free licence to show the content and their media kit inside the platform and, unless they opt out from their account, as an example of work in Floxu's materials.

Whoever uploads something to Floxu represents that they have the right to: that the music, trademarks, third-party images and people appearing in it are cleared.

14. Artists and music

  • The artist represents that they own, or have authorization from every owner of, the master and the composition they upload, and that its use in the campaign breaches no label, distributor or publishing agreement.
  • They grant the campaign's creators a non-exclusive licence to synchronize the audio in that campaign's posts and to keep them published.
  • Floxu is not a label, distributor or collecting society: it does not collect royalties for you or replace whoever does.
  • If a rights claim takes down campaign posts over audio that was not yours, you answer to the affected creators and to Floxu.

15. Honest advertising

  • All paid content, or content made in exchange for product, is identified as advertising, using each network's tools — such as TikTok's branded content label — and a visible #ad or equivalent, in line with the FTC Endorsement Guides and your country's rules.
  • The creator only states what they have checked, or what the brand has given them in writing as true.
  • The brand is responsible for the product claims it puts in the brief: efficacy, health, results, prices and promotions.
  • No products or claims that the networks or the law prohibit advertising.

16. Brand responsibility for the product

The brand represents that its product is lawful in the countries where it is shipped and promoted, that it is safe, that it holds the registrations and permits the law requires, and that it has the right to sell it and to use the trademarks and materials it provides. In a recall or safety issue, it notifies Floxu and the creators immediately and bears the costs.

17. What is not allowed

  • Buying followers, engagement or views, using bots or engagement pods, or presenting metrics that are not real.
  • Simulating sales in a live, buying your own product to inflate the figure, or coordinating with others to do so.
  • Impersonating another person or brand, or holding several accounts to get around a restriction.
  • Publishing content that is illegal, hateful, sexually explicit, misleading to consumers or infringing on others' rights.
  • Harassing or pressuring another party, on or off Floxu.
  • Scraping Floxu, using other users' data for anything other than the campaign, or trying to get around the system's access rules.
  • Using Floxu for products or services prohibited by law or by the policies of the networks where the content is published.

18. Suspension and closure

  • You can close your account at any time. Campaigns you already accepted are completed or cancelled by mutual agreement, and pending payments are settled.
  • We may suspend or close an account that breaches these terms, puts other users or Floxu at risk, or where the law requires it. Except in urgent cases or fraud, we tell you beforehand and say why.
  • A restriction is always reviewed by a person, and you can ask for it to be reconsidered.
  • If an account is closed for fraud, we may hold the amounts linked to that fraud while it is investigated and return them to whoever they belong to.
  • Clauses that by their nature should survive closure do: amounts owed, licences granted, non-circumvention, liability and disputes.

19. Disclaimer of warranties

Floxu is provided "as is" and "as available". To the extent the law allows, we give no implied warranties of merchantability, fitness for a particular purpose or error-free, uninterrupted operation, and we are not responsible for what brands, creators, artists or third-party platforms publish, ship or do. This does not limit the rights your country's law gives you as a consumer that cannot be waived.

20. Limitation of liability

To the extent the law allows, Floxu is not liable for indirect damages, lost profits, or loss of data, reputation or opportunity. Our total liability to you for any claim relating to Floxu is limited to the greater of: the fees you paid us in the 12 months before the event, or 100 US dollars.

This limit does not apply to amounts we owe you for approved campaigns or verified sales, or to damage caused by wilful misconduct or gross negligence.

21. Indemnity

If a third-party claim against Floxu arises from your content, your product, your advertising claims, or your breach of these terms or the law, you will defend us and cover the reasonable costs it causes us, including attorneys' fees. We will notify you in time and cooperate in the defence.

22. Disputes

  • First, we talk. Write to legal@floxu.app with what happened and what you are asking for. We have 30 days to try to resolve it before either party starts proceedings.
  • Between a brand and a creator, Floxu may mediate at either's request. What we decide about money we are holding is binding for releasing or returning that money, without stopping either side from later taking whatever route applies.
  • If it is not resolved, any dispute with Floxu is decided by individual, binding arbitration administered by the American Arbitration Association under its rules then in force, seated in Miami, Florida, in Spanish or English at the choice of the party starting it. The laws of the State of Florida, United States apply.
  • Claims are brought individually, not as part of a class or representative action.
  • Excluded from arbitration are small-claims actions in the competent court and urgent relief over intellectual property or misuse of the platform, which may be brought before the state and federal courts of Miami-Dade County, Florida.
  • You can opt out of arbitration by writing to legal@floxu.app within 30 days of accepting these terms.

If you live in Mexico, Colombia or another country whose consumer protection law does not allow you to waive its courts or authorities — such as PROFECO or the Superintendencia de Industria y Comercio — this section does not take that right away.

23. Infringement notices

If you believe something published on Floxu infringes your copyright or trademark, write to dmca@floxu.app identifying the work, the content and where it is, your contact details, a good-faith statement and your signature. We remove what is appropriate under the DMCA and notify the person who posted it, who may file a counter-notice. We close the accounts of repeat infringers.

24. Changes to these terms

We may update them. Where a change is material we tell you by email or with a prominent notice at least 15 days in advance, and the change does not affect campaigns you had already accepted. If you do not agree, you can close your account before it takes effect; continuing to use Floxu afterwards means you accept it.

25. General

  • These terms, the Privacy Policy and each campaign's brief are the entire agreement between you and Floxu. Where a brief contradicts these terms, the brief prevails to the extent it is more favourable to the creator.
  • If a clause is invalid, it is adjusted as little as necessary and the rest remains in force.
  • Not enforcing a right at one moment is not waiving it.
  • You may assign your position only with our consent. We may assign ours in a corporate transaction, with notice to you.
  • Neither party is liable for failures caused by events beyond its reasonable control, for as long as they last.
  • These terms are published in Spanish and English. In case of discrepancy, the Spanish version prevails.
